1. Services
Viral Web Sem provides web design, development, hosting, SEO, and marketing automation services. Specific deliverables, timelines, and responsibilities are outlined in each proposal or statement of work.
2. Client Responsibilities
Clients agree to supply content, brand assets, account access, and approvals in a timely manner. Delays in providing assets or feedback may impact launch timelines and may incur rescheduling fees.
3. Billing and Payment
Plan fees are due at project kickoff unless otherwise noted. Monthly retainers renew automatically until cancelled with 30 days written notice. Late payments may pause service delivery until the account is in good standing.
4. Revisions and Change Requests
Packages include a defined number of revision rounds. Additional revisions or scope changes are billed at the current hourly or project rate after written approval.
5. Intellectual Property
Upon full payment, clients own the final website files and approved creative. Viral Web Sem retains rights to pre-existing tools, code libraries, and internal workflows used to deliver the project.
6. Confidentiality
Both parties agree to keep confidential information, trade secrets, and system credentials secure. Access is limited to team members or vendors required to deliver contracted services.
7. Warranties and Liability
Services are provided as-is. Viral Web Sem will correct launch defects reported within 30 days. We are not liable for indirect, incidental, or consequential damages that arise from the use of delivered work.
8. Termination
Either party may terminate the agreement with 30 days written notice. Work completed through the termination date will be invoiced and due immediately.
9. Governing Law
These terms are governed by the laws of the State of Maryland, USA. Disputes will be handled through good faith negotiation and, if necessary, binding arbitration in Maryland.
